The short version. This is a website about what Handbird builds. Reading it is free; it comes with no promises; it is not financial advice; and if you send us a message we will treat it as a message, not a contract. Details below.
1. Who we are and what this covers
These terms apply to [WEBSITE URL] (the "Site"), operated by Handbird Inc., a Delaware corporation ("Handbird", "we", "us"). By using the Site you agree to these terms and acknowledge our Privacy Policy. If you do not agree, please do not use the Site. Any software or services we build for you are governed by a separate written agreement, not by these terms.
2. Using the Site
You may view the Site and share links to it. You may not:
- copy, scrape, or republish substantial parts of it other than as fair use allows;
- interfere with the Site, probe it for vulnerabilities without our permission, or use it to send spam or malicious content;
- use the contact form for anything other than genuine inquiries; or
- misrepresent who you are.
3. Our content
The text, design, graphics, logos, and code of the Site belong to Handbird or our licensors and are protected by copyright and trademark law. "Handbird" and the Handbird logo are trademarks of Handbird Inc. Other names and logos that appear on the Site are trademarks of their respective owners and are used to identify their products or services only; their appearance does not imply endorsement in either direction.
4. Client projects and links to other sites
The Site describes software Handbird has built for clients. Those projects, including any protocol, application, website, or token associated with them, are owned, operated, and controlled by the clients, not by Handbird. We built them as an independent contractor; we do not operate them, hold or custody anyone's assets, set their rules, or control what they do after delivery, and we are not responsible for them. Links to third-party websites are provided for information only. Those sites have their own terms and privacy policies, and visiting them is at your own discretion.
5. We build software. We do not give financial advice.
Handbird is a software development company. Nothing on the Site is, or should be taken as, investment, financial, trading, legal, tax, or accounting advice, or a recommendation of any strategy, protocol, or product. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any token, cryptocurrency, security, or other financial instrument, in any jurisdiction. Handbird is not a bank, broker-dealer, exchange, investment adviser, money transmitter, or custodian, and does not issue or sell tokens. Digital assets and decentralised finance involve substantial risk, including the risk of losing everything you put in. Do your own research and, where it matters, talk to a licensed professional.
6. The contact form is a conversation, not a contract
Sending us a message does not make you our client, does not oblige us to respond or to take on your project, and does not create a confidentiality obligation on either side until we sign something that says so. Please do not send us confidential information, trade secrets, private keys, seed phrases, or passwords through the form. If we do work together, a written agreement will govern the engagement.
7. No warranties
The Site is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including any warranty of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement. We do our best to keep the Site accurate and available, but we do not promise that it will be error-free, uninterrupted, or free of harmful components, and we may change or remove any part of it at any time.
8. Limitation of liability
To the fullest extent the law allows, Handbird and its directors, officers, employees, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, data, or digital assets, arising out of or relating to the Site or anything you do in reliance on it. Our total liability for all claims relating to the Site is limited to the greater of one hundred US dollars (US$100) and the amount you paid us to use the Site, which is nothing. Some jurisdictions do not allow some of these limitations; in those places, our liability is limited to the smallest amount the law permits.
9. Governing law and disputes
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute relating to the Site will be brought in the state or federal courts located in Delaware, and you and we each consent to their jurisdiction. If something goes wrong, we would much rather hear from you first through the contact form on our website and try to fix it.
10. Changes
We may update these terms from time to time. The current version will always be posted here with its effective date, and material changes will be flagged on the Site. Continuing to use the Site after a change means you accept the updated terms.
11. Odds and ends
If any part of these terms is found unenforceable, the rest still applies. Our not enforcing a provision on one occasion does not waive it. These terms, together with the Privacy Policy, are the entire agreement between you and us about the Site. Headings are for convenience only.
